Wholesale Conditions - Terms of Business

With the act of placing an order, following purchase and delivery conditions become valid and all conditions are fully recognised and legally binding for purchaser for the corresponding as well as all future transactions. Any special agreements require our written confirmation to be validated.

Minimum Order / Packing Units
Whole laws sale prices apply to packing units (PU, see price list) A 5% minimum quantity surcharge is imposed on orders below the items corresponding minimum packing unit.

Delivery
We deliver using the fastest option either by DPD, DHL or forwarding agent, usually within a few days. But please also consider that our articles are not mass ware. It is not always possible to avoid prolonged delivery times. In such a case it is also possible to have delivery made in portions. The delivery takes place solely at the risk and account of the receiver. In event of damages during transport, please contact the forwarding agent directly. e.g. DPD.

Delivery Abroad
Delivery abroad takes place only in connection with advance payment. If the possibility exists in the country of destination, then the option of COD is preferred. With orders from abroad, the forwarding agents charge is billed. By payments from foreign banks, please make sure that all fees and charges that ensue, are fully covered.

The right of returning or exchanging articles / Deficiencies
Please make sure that all return deliveries are arranged with our customer service before hand. Single items may be returned unused in their original packing within 14 days of invoice date. Fitted items, all edibles and cosmetics, all custom and single made articles as well as special offers are barred from being returned or exchanged. In the event of your returning any items, you bear the postal or transports expenses. Please return packages only if they are adequately prepaid. We reserve the right of raising a surcharge of at least 10 % of the products net worth for amending inadequate postage of returned items.
We are to be notified of visible and also apparent deficiencies within 7 days of delivery.

Terms of payment
We deliver items only in connection with payment through direct debit, credit card or COD. Should the articles be unpaid or partially unpaid before delivery, the valid date of payment deadline is 28 days after invoice date. Should there be a delay in payment exceeding the 28 day deadline, we reserve the right to charge the interest rate customary in banking. A retention of payment or offsetting unacknowledged counterclaims is at no time possible. Additionally, we have the right to raise a €10.00 surcharge for incurring expenses.
Until the ordered items are fully paid for, they remain being our property.

Prices
All offers are subject to confirmation. Errors, misprints, product and price changes remain subject to changes. Our prices are Euro net prices (excluding V.A.T.) and excluding mailing or shipping costs. With the release of a new price list, all preceding price lists become invalid

Miscellaneous
Due to their being natural products, it is sometimes possible that our products are subject to minimal changes. Trademark and trade names are the property of the corresponding company. All contract closed with us are subject in all cases to the laws of the Federal Republic of Germany. The validity of German law applies also in the case of purchases and orders from outside of Germany. Application of international laws or simplified laws for the sale of goods, do not carry precedence. The validity of all conditions and terms remains unaltered even if single terms or conditions in this agreement should become invalid. Place of fulfilment and court of jurisdiction is Düsseldorf.
